This is a single, unified agreement that covers everything you need to know as a ChargeWise user — your rights, your responsibilities, and how the loyalty program works. The document ensures you have a complete and clear picture of all applicable terms before you give your consent.

The document is organised into three parts:

I. Part I - General Terms & Conditions (Sections 1 - 22)

This part sets out the foundational rules that govern your use of the ChargeWise software platform and applications (both web- and native-based). It covers how you access and use the Service, your account responsibilities, how ChargeWise collects and handles your personal data, ChargeWise's intellectual property rights, platform availability, your obligations as a user, how fees work (for business clients), and what happens in the event of a dispute or termination.

II. Part II - Loyalty Programs Terms & Conditions (Sections 23 - 36)

This part explains exactly how the Loyalty Program works. It covers how you earn Points from your EV charging sessions, the different ways Points are calculated (by kWh, by spend, or by event), how tier status works and what benefits each tier unlocks, how to redeem your Points for rewards, the rules around Point expiration and forfeiture, and the specific liability limitations that apply to the loyalty program. Participating in the Loyalty Program is entirely voluntary — this part only applies to you if you choose to opt in.

III. Part III - Unified Consent and Acknowledgement

This part contains your formal, explicit acceptance of both Part I and Part II in a single consent action. By clicking "I Agree" — or by earning your first Point — you confirm that you have read and understood the entire document, that you meet the eligibility criteria, and that you consent to the data processing described herein. A legal note confirms that this single acceptance event satisfies all applicable Bulgarian and EU consent requirements, including under the GDPR, the Bulgarian Consumer Protection Act, and the Electronic Commerce Act.

I. PART I - GENERAL TERMS & CONDITIONS

1. Introduction and Acceptance

Welcome to ChargeWise, a User Engagement and Loyalty Programs Management Platform for eMobility Service Providers. These Terms & Conditions ("Terms") govern your use of the ChargeWise platform, including our Admin Application and Web Application (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

For B2B Clients: These Terms apply to your organization's use of the Admin Application for creating and managing loyalty programs.

For End Users: These Terms apply to your use of the Web Application to participate in loyalty programs created by our B2B clients.

2. Definitions

  • "Admin Application" refers to the web-based platform used by B2B clients to create and configure loyalty programs.
  • "B2B Client" refers to eMobility Service Providers who use our Admin Application to manage loyalty programs.
  • "ChargeWise," "we," "us," or "our" refers to “ChargeWise" Ltd., UIC:207687862, a limited liability company registered under the laws of Bulgaria
  • "End User" refers to customers of B2B clients who participate in loyalty programs through our Web Application.
  • "Loyalty Program" refers to reward programs created by B2B clients to incentivize charging behavior.
  • "Platform" refers to the complete ChargeWise system, including both applications.
  • "Service" refers to all services provided through the Platform.
  • "Web Application" refers to the user-facing application for tracking points and redeeming rewards.

3. Service Description

ChargeWise provides a platform that enables eMobility Service Providers to create and manage customer loyalty programs. Our Service includes:

3.1 For B2B Clients

  • Access to the Admin Application for creating and configuring loyalty programs.
  • Tools to set charging incentives and reward structures.
  • Analytics and reporting capabilities.
  • Customer engagement management features.

3.2 For End Users

  • Access to the Web Application to track earned points.
  • Ability to convert points into rewards, vouchers, and prizes.
  • Program participation tracking and history.
  • Account management capabilities.

3.3 Future Developments

We plan to expand the Web Application to include mobile applications for Android and iOS devices. These additions will be subject to these Terms unless otherwise specified.

4. Account Registration and Eligibility

4.1 Age Requirements

You must be at least 18 years old to create an account and use our Service. By creating an account, you represent and warrant that you meet this age requirement.

4.2 Account Information

When creating an account, you must provide accurate, complete, and current information. You are responsible for maintaining the accuracy of your account information and for keeping your account credentials secure.

4.3 Account Responsibility

You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach. We reserve the right to refuse or terminate accounts at our sole discretion, including for violations of these Terms or applicable laws.

5. Data Collection and Use

5.1 Data We Collect

We collect the following personal information:

  • Name and surname.
  • Phone number.
  • Email address.
  • Usage data related to platform interaction.
  • Charging activity data (for loyalty program participation).

5.2 Purpose of Data Collection

We use your data to:

  • Provide and maintain our Service.
  • Process loyalty program participation.
  • Calculate and distribute rewards.
  • Improve our platform functionality.
  • Communicate service updates and program information.
  • Comply with legal obligations.

5.3 Data Sharing

We may share your data with:

  • B2B clients (for their loyalty program management).
  • Service providers who assist in platform operation.
  • Legal authorities, when required by law.
  • Business partners for reward fulfillment.

We process data in compliance with the EU General Data Protection Regulation (GDPR), where applicable, and other international data privacy laws.

6. B2B Client Terms

6.1 Program Creation

B2B clients may create loyalty programs through the Admin Application, subject to our platform capabilities and these Terms.

6.2 Client Responsibilities

B2B clients are responsible for:

  • Ensuring their loyalty programs comply with applicable laws.
  • Honoring rewards and incentives offered to end users.
  • Maintaining accurate program configurations.
  • Providing clear program terms to their customers.
  • Obtaining necessary consent from End Users for data sharing and processing.

6.3 Client Data

B2B clients retain ownership of their customer relationship data while granting us the necessary rights to operate the platform and facilitate loyalty programs.

7. Loyalty Programs and Rewards

7.1 Program Participation

End users may participate in loyalty programs created by B2B clients. Participation is subject to the specific terms of each program as configured by the B2B client, and to the detailed Loyalty Program Terms set out in Part II of this document.

7.2 Point Earning and Redemption

  • Points are earned based on charging activity as defined by the relevant loyalty program.
  • Points have no inherent monetary value outside the specific program context.
  • Point balances and redemption options are managed through the Web Application.
  • We reserve the right to adjust point balances for fraudulent or erroneous activities.
  • Rewards are not guaranteed and may expire, be modified, or revoked at any time in accordance with applicable program terms. Participation is voluntary and at your own discretion.

7.3 Reward Fulfillment

Rewards are provided by or through B2B clients. We facilitate the redemption process but are not responsible for reward delivery or quality issues.

7.4 Program Changes

B2B clients may modify or terminate their loyalty programs at any time. We will provide reasonable notice of significant changes when possible.

8. Platform Availability and Performance

8.1 Service Availability

We strive to maintain high platform availability, but cannot guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.

8.2 Performance Disclaimers

The Service is provided "as is" without warranties of any kind. We do not guarantee that the Service will be error-free, secure, or continuously available.

8.3 Third-Party Integrations

Our platform may integrate with third-party charging infrastructure and systems. We are not responsible for the availability or performance of third-party services.

9. User Conduct and Prohibited Activities

9.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms.

9.2 Prohibited Activities

You may not:

  • Violate any applicable laws or regulations.
  • Attempt to gain unauthorized access to the platform or other users' accounts.
  • Interfere with platform operations or security measures.
  • Use the Service to transmit harmful or malicious content.
  • Reverse engineer or attempt to extract source code.
  • Create false accounts or misrepresent your identity.
  • Engage in fraudulent activity to manipulate point earning or redemption.
  • Resell access to the Service without permission.
  • Harvest or collect data from the platform without authorization.

9.3 Suspension and Termination

We may monitor platform activity to ensure compliance with these Terms. We may suspend or terminate your access to the Service for violations of these Terms or for any other reason at our sole discretion.

10. Intellectual Property

10.1 Platform Rights

The ChargeWise platform, including all software, content, and intellectual property, is owned by us or our licensors. You receive only a limited license to use the Service as intended.

10.2 User Content

You retain ownership of any content you provide, but grant us the necessary rights to operate the Service and fulfill our obligations under these Terms.

10.3 Feedback

Any feedback or suggestions you provide about our Service may be used by us without obligation or compensation to you.

11. Privacy and Data Protection

11.1 Privacy Commitment

We are committed to protecting your privacy and handling your data responsibly. Our data practices are detailed in our Privacy Policy, which is incorporated into these Terms by reference.

11.2 GDPR Compliance

For users in the European Union, we comply with the General Data Protection Regulation (GDPR) and provide appropriate data subject rights.

11.3 Data Security

We implement appropriate technical and organizational measures to protect your data, though no system can guarantee absolute security.

12. Fees and Payment Terms

12.1 B2B Client Fees

Subscription and usage fees for B2B clients are as specified in separate service agreements. We reserve the right to modify fees with reasonable advance notice.

12.2 End User Fees

The Web Application is provided to end users at no charge. Participation in loyalty programs does not require payment to ChargeWise.

12.3 Payment Processing

All payments are processed through secure third-party payment processors. We do not store payment card information.

13. Limitation of Liability

13.1 Liability Limitations

To the maximum extent permitted by law, ChargeWise shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, data, or business opportunities.
  • Service interruptions or unavailability.
  • Third-party actions or failures.
  • Issues with reward delivery or quality.

13.2 Maximum Liability

Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount paid by you (if any) for the Service in the 6 months preceding the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless ChargeWise and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights.
  • Your participation in loyalty programs.

15. Disclaimers

15.1 Service Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted availability or error-free operation of the Service.

15.2 Third-Party Content

We are not responsible for content, products, or services provided by third parties, including B2B clients and their loyalty programs.

16. Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including natural disasters, government actions, network failures, or other force majeure events.

17. Termination

17.1 Termination Rights

Either party may terminate these Terms at any time. B2B clients may terminate by canceling their subscription. End users may terminate by discontinuing use of the Web Application.

17.2 Effect of Termination

Upon termination:

  • Your access to the Service will be suspended.
  • Data retention will be handled according to our Privacy Policy.
  • Outstanding obligations (such as earned but unredeemed points) will be handled according to the specific loyalty program terms.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting updated Terms on our platform.
  • Sending email notifications to registered users.
  • Providing prominent notice within the Service.

Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

19. Export Controls and Sanctions

You agree not to use the Service if you are:

  • Located in or a resident of any country subject to comprehensive trade sanctions.
  • Listed on any government sanctions list.
  • Otherwise prohibited from accessing the Service under applicable export control or sanctions laws.

20. Dispute Resolution

20.1 Governing Law

These Terms are governed by the laws of Bulgaria, without regard to conflict of law principles.

20.2 Jurisdiction

Any disputes arising from these Terms or your use of the Service will be resolved in the courts of Sofia, Bulgaria.

20.3 Limitation Period

Any claims must be brought within one (1) year of the date the cause of action arose.

20.4 Arbitration Option

Where permitted by law, parties may elect to resolve disputes through binding arbitration administered by the Bulgarian Chamber of Commerce and Industry in Sofia.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and ChargeWise regarding the Service.

II. Part II - LOYALTY PROGRAMS TERMS & CONDITIONS

Note: These Loyalty Program Terms supplement and form part of the General Terms & Conditions in Part I. In the event of conflict, these provisions take precedence for matters specifically related to: Program Overview, Earning Points, Tier Status, Redemption & Rewards, and Expiration & Forfeiture. For data privacy matters, the GDPR and ChargeWise Privacy Policy shall govern in all cases.

23. APPLICABLE DOCUMENTS & REFERENCES

These Loyalty Program Terms and Conditions ("These Terms") are supplementary to and shall be read in conjunction with the following documents:

In the event of conflict between these Terms and the General Terms & Conditions, these Loyalty Program-specific Terms shall take precedence with respect to the following sections: Program Overview, Earning Points, Tier Status & Benefits, Redemption & Rewards, Expiration & Forfeiture.

For data privacy matters, the ChargeWise Privacy Policy and applicable data protection legislation (including GDPR) shall govern in all cases.

24. INTRODUCTION & ACCEPTANCE

By creating an account, opting into the Rewards Program, or earning Points through ChargeWise's native Android mobile application, native iOS mobile application, or web-based application (the "Service"), you agree to be legally bound by these Terms and Conditions.

These Terms constitute a binding legal agreement between you ("Member") and the Charge Point Operator whose charging services you use (the “Operator”), regarding the Operator’s loyalty and rewards program, which is administered through the ChargeWise platform.

Your participation in this Program is voluntary. You may decline to join and continue using the charging service without penalty. However, once you opt in, these Terms apply to all Points earned and any subsequent redemptions.

24.1 Key Points About These Terms

Before joining, please carefully before opting in. These terms are legally binding:

  • These Terms are user-friendly but legally binding.
  • This is a promotional program, not a financial product.
  • Points have zero cash value and cannot be converted to money.
  • Redemptions are final and cannot be reversed.
  • The Program may be modified or terminated at any time.
  • Your data will be processed as described in the Privacy Policy.
  • You must be 18+ and provide accurate information.
  • Violations may result in Point forfeiture and account termination.

If you disagree with ANY provision, do not opt into the Program.

By continuing, you accept:

  • All terms and limitations described in this document.
  • The referenced documents incorporated by reference.
  • Future modifications announced according to Section 11.

25. DEFINITIONS (LOYALTY PROGRAM)

To ensure clarity and legal precision, the following terms are defined:

"Active Account" means an account held by a Member that has completed at least one (1) Qualifying Charging Session or Redemption transaction within a rolling 12-month period.

Note: This definition applies for purposes of Point expiration as described under Section 8 in this document.

"Charge Point Management System" ("CPMS") means the technical infrastructure (such as Ampeco, GreenFlux, Monta, Last Mile Solutions, Roam, or similar systems) operated by the Operator to monitor, record, and transmit charging session data. The CPMS captures information including, but not limited to: kWh delivered, session duration, time and date, location, payment status, and transaction amounts.

"ChargeWise" means the SaaS platform operated by ChargeWise LTD. that integrates with the Operator's CPMS and facilitates loyalty program administration, points calculation, and connection to the Rewards Marketplace. ChargeWise is the technology provider enabling the Program.

"Loyalty Program" or "The Program" means the rewards scheme operated by the Operator under these Terms and facilitated through the ChargeWise platform. The Program is distinct from the Charging Service itself. You may continue to charge your vehicle even if the Loyalty Program is suspended, modified, or terminated, provided your account remains active for charging.

"Member" means an individual who has created an account, accepted these Terms, and is eligible to earn and redeem Points under the Loyalty Program.

"Operator" means the Charge Point Operator (CPO) or eMobility Service Provider (eMSP) who owns and operates the charging network and whose network users (Members) participate in the Loyalty Program. The Operator is responsible for program administration, rule setting, and user communication regarding the Program.

"Points" means a promotional unit of value awarded by the Operator based on qualifying charging activity, calculated and administered through the ChargeWise platform. Points have no cash value and are not money, e-money, Digital Payment Tokens (DPT), or property, and don’t have any monetary value per se.

"Qualifying Charging Session" means a charging session that:

  • Has been successfully completed by the end user.
  • The CPMS has transmitted the respective charging session data to the ChargeWise system precisely as recorded for Points calculation purposes.
  • The minimum energy transfer threshold (if any) specified by the Operator has been met (or no minimum applies, as determined by the Operator).

"Redemption" means the act of converting accumulated Points into a designated Reward through the Rewards Marketplace.

"Rewards Marketplace" means a third-party vendor platform or catalog where Members may redeem Points for goods, services, discounts, vouchers, or other tangible benefits. The Rewards Marketplace is provided through the ChargeWise platform and integrates various third-party merchants and vendors.
Note: The Operator is not a supplier of rewards; ChargeWise is not a supplier of rewards either. The ChargeWise platform facilitates connecting Members to third-party merchants where they can redeem specific rewards.

"Tier" means a membership status level (Bronze, Gold, Platinum) achieved by accumulating Points on a rolling basis. Each Tier may unlock additional earning rates, exclusive Rewards, or other benefits.

"User Group" means a classification assigned to a Member (e.g., "VIP", "Resident", "Taxi Fleet", "Employee", "Partner Network") that may entitle them to designated loyalty programs, specialized earning rates, or exclusive offers.

26. PROGRAM OVERVIEW

26.1 What This Program Is

The Loyalty Program is a promotional tool designed to reward Members for charging their electric vehicles through the Charge Point Operator’s network, whose charging services they use. As Members charge, they earn Points. As Points accumulate, Members can redeem designated Rewards on the Rewards Marketplace provided by ChargeWise. The more Points Members accumulate, the higher their Tier status, which comes with added benefits—including higher earning rates, exclusive rewards, and other perks.

The Program is facilitated through the ChargeWise platform, which calculates Points based on CPMS data and connects Members to the Rewards Marketplace.

ChargeWise does not provide the charging services themselves. The charging services are provided solely by the Operator under their own Terms & Conditions, and are independent from their Loyalty Programs.

26.2 What This Program Is NOT

  • Not a contract of sale. You are not purchasing anything.
  • Not a savings account. Your Points are not held "in trust" or in any bank deposit account and are not your property;
  • Not guaranteed indefinitely. The Operator may suspend or end the Program at any time without prior notice necessarily being given.
  • Not insurance. The Program does not guarantee the availability of any specific Reward.
  • Not an employment benefit. This Program is not limited to employees of the Operator or any third party. However, the Program may apply to certain Members who have been assigned to an "Employee" User Group or other designated classifications, in which case those Members are subject to the same Terms as all other Members;
  • Not a financial product or investment. Points do not earn interest, returns, or appreciation.

26.3 How It Works: Three Simple Steps

  • Step #1: Charge Your Vehicle: Complete a charging session at any charging station that is part of your Charge Point Operator’s participating network.
  • Step #2: Earn Points: Points are automatically rewarded based on the Points-earning mechanisms described in Section 5 of this document.
    Important: Points are calculated and awarded by the ChargeWise platform based on data received from the CPMS.
  • Step #3: Redeem Rewards: Redeem your Points in exchange for dedicated gift cards, vouchers, products, and services which are available in the Rewards Marketplace within the ChargeWise App.

27. MEMBERSHIP & ELIGIBILITY

27.1 Who Can Join

You are eligible to participate in the Loyalty Program if you:

  • Are at least 18 years of age.
  • Have a valid, active account with the Operator.
  • Reside in a jurisdiction where the Program operates.
  • Accept these Terms in full, and
  • Provide accurate information during registration.

27.2 Commercial & Fleet Exclusions

Unless explicitly approved in writing by the Operator, the following account types are excluded from the Loyalty Program:

  • Commercial fleet operators (e.g., taxi companies, delivery services, corporate fleets).
  • High-volume charging networks or resellers.
  • Accounts created for testing or demonstration purposes.
  • Any account detected to be using the Service for fraudulent or non-personal purposes.

27.3 Right to Deny or Suspend Membership

The Operator and/or ChargeWise reserve the right to:

  • Deny program enrollment to any applicant.
  • Suspend or permanently ban a Member from the Program for:
  • Fraudulent activity.
  • Violation of these Terms.
  • Use of bots, automated tools, or technical exploits.
  • Abusive conduct toward the Operator, ChargeWise, or third-party merchants.

Such action may be taken at the Operator's sole discretion without liability.

28. EARNING POINTS

This section explains exactly how Points are earned.

28.1 Earning Formula & Standard Rates

Points shall be awarded solely on the basis of the charging session data transmitted by the CPMS to the ChargeWise system in respect of Qualifying Charging Sessions, as recorded and received for Points calculation purposes.

Standard Earning Rate:
[X] Points per [kWh / Event / Amount of money spent on a per charging session / etc.], as displayed in the ChargeWise app for the applicable Active Program.

The Standard Earning Rate is defined separately for each Active Program and may vary depending on the applicable Active Users, specific User Group/s, and specific Tier/s as displayed in the ChargeWise App.

28.2 How Points Are Calculated

28.2.1. Usage-Based Calculation = Reward Members based on their charging activity.

  • Points are calculated on the total kilowatt-hours (kWh) delivered during the session.
  • Award {X} points for every {X} kW charged.

Example: Award 10 points for every 1 kW/h being charged:
– Output: There are 25 kWh delivered during the charging session.
– Usage-based calculation mechanism: 10 Points per kWh.
– Calculation: 25 × 10 = 250 Points.
– Result: 250 Points are awarded to the Member in the ChangeWise app within 24 hours.

28.2.2. Event-Based Calculation = Reward Members for specific events (birthdays, anniversaries, sign-up bonus, etc.)

  • Points are calculated when a specific event occurs on a specific date.
  • Award {X} points on {Member’s Birthday Date} / {Sign-up Date} / etc.

Example: Award 100 points for the Member’s birthday:
– Condition: Today {XX/XX/XXXX}, Members {A}, {B}, {C}, etc. have birthdays.
– Event-based calculation mechanism: 100 Points on {Members’ birthdays date - XX/XX/XXXX}.
– Calculation: 100 × 1 = 100 Points.
– Result: 100 Points are awarded to the Member in the ChangeWise app within 24 hours.

28.2.3. Cost-Based Calculation = Reward Members for a specific amount they spend on the charging activity.

  • Points are calculated on the final transaction amount paid (excluding taxes, VAT, or surcharges where applicable by law).
  • Award {X} points for every €{1} they spend on charging during the charging session.

Example: Award 10 points for every €1 they charged:
– Output: The total amount paid for the charging session is €25.64.
– Cost-based calculation mechanism: 10 Points per €1 spend for charging.
– Calculation: 10 × 25.64 = 256.4 Points.
– Result: 256 Points are awarded to the Member in the ChangeWise app within 24 hours.

28.3 Rounding & Precision

Calculations that result in decimal values are rounded down to the nearest whole number.

Example:
– €25.6 at 10 Points per € spend during charging = 256.4 Points → 256 Points awarded.
– 28.8 kWh at 2 Points per kWh = 57.6 Points → 57 Points awarded.
– 99.9 kWh at 1 Points per kWh = 99.9 Points → 99 Points awarded.

28.4 Important Data Disclaimer

Points are calculated solely on data received from the CPMS. The Operator and ChargeWise are not responsible for:

  • CPMS data latency or delays.
  • Data transmission errors or incomplete data.
  • Network connectivity failures between the station and CPMS.
  • Minor discrepancies between station and CPMS data.
  • Refunded sessions (Points may be deducted if a refund is issued).
  • Disputed transactions (Points may be reversed).

Participation in the Program requires accepting this data dependency and limitation.

28.5 User Groups & Specialized Earning Rates

28.5.1 What Are User Groups?

The Operator may assign Members to specific User Groups, such as:

  • Residents, City Center Users.
  • VIP, Power Chargers, Casual Users.
  • Partner Network, Corporate Member.
  • Employee, Fleet Driver.
  • Time-limited groups (e.g., Early Adopters).

Each User Group may have its own earning rates, loyalty programs being assigned, and available rewards in the marketplace for redemption.

28.5.2 Multiple Program Eligibility & Point Calculation

When a Member qualifies for multiple loyalty programs simultaneously:

28.5.2.1. Default Additive Calculation

By default, all applicable programs contribute Points cumulatively:

  • Each qualifying program calculates Points independently.
  • Total Points awarded = sum of all applicable program calculations.

Example:
> Setup:
– Program A: “Standard” → 5 pts/kWh → applies to All Users

28.5.2.2. Exclusive Program Override

Programs designated as "Exclusive" operate differently:

  • When an Exclusive program applies, it replaces all non-exclusive programs.
  • If multiple Exclusive programs apply simultaneously, the highest-priority program takes precedence.
  • Exclusive status and priority rankings are determined solely by the Operator.

Example: A "Black Friday" Exclusive program awarding 500 points would replace standard programs that would otherwise award 200 points combined.
> Setup:
– Program A: “Standard” → 5 pts/kWh (non-exclusive)
– Program B: “VIP Boost” → 15 pts/kWh (non-exclusive)
– Program C: “Black Friday” → 50 pts/kWh (Exclusive)

> Alice charges 10kWh on Black Friday:
– Without exclusive (Programs A + B): 5 + 15 = 20 pts/kWh → 200 pts
– With exclusive Program C: 50 pts/kWh → 500 pts (replaces Programs A and B).

28.5.3 User Group Communication

User Group assignment and earning rates will be communicated in the ChargeWise App or via email.

28.6 Promotional Multipliers & Campaigns

The Operator may run promotional campaigns (e.g., "3× Points this week"). Such campaigns:

  • May offer multiplied earning rates or extra bonus Points.
  • May be designated as "Exclusive" (replacing standard earning rates) or "Additive" (stacking with standard rates).
  • Are displayed prominently in the ChargeWise App with a clear duration.
  • May be modified, paused, or terminated early without liability.
  • Override or supplement standard rates only during the active campaign period.

28.7 Closed-Loop System: No Cash Value or Financial Instrument Status

This Program operates as a strictly closed-loop promotional system. Members must understand and accept the following fundamental limitations:

28.7.1 No Monetary Value or Financial Instrument Status

Points are promotional units only and explicitly:

  • Have NO cash value.
  • Are NOT money, e-money, stored value, or Digital Payment Tokens (DPT).
  • Are NOT property, assets, or financial instruments.
  • Cannot be classified as securities, commodities, or investment products.
  • Do not constitute legal tender in any jurisdiction.

28.7.2 Exclusive Redemption Channel

Points may ONLY be redeemed through:

  • The Rewards Marketplace within the ChargeWise application.
  • For specifically designated rewards offered by third-party merchants.
  • Or for Charge Balance Top-Up (where applicable).

Points CANNOT be redeemed:

  • For cash, credit, or bank deposits.
  • Through any channel outside the ChargeWise application.
  • At physical retail locations.
  • Through direct merchant websites (except via ChargeWise facilitation).

28.7.3 Prohibited Transactions

Points strictly CANNOT be:

  • Transferred, gifted, sold, or assigned to others.
  • Withdrawn, cashed out, or converted to currency.
  • Deposited into bank accounts or payment services.
  • Used as collateral or security.
  • Duplicated, multiplied arbitrarily, or manipulated.
  • Converted into any payment vehicle or financial instrument.

28.7.4 No Interest, Returns, or Appreciation

Points DO NOT:

  • Earn interest or yield.
  • Appreciate or gain value over time.
  • Generate returns or dividends.
  • Function as savings or investment vehicles.

28.7.5 Regulatory Compliance Statement

This structure is designed to comply with financial regulations by ensuring Points remain purely promotional. Any attempt to circumvent these limitations may result in:

  • Immediate account suspension.
  • Forfeiture of all Points and benefits.
  • Termination from the Program.
  • Potential legal action.

Note: By participating, Members acknowledge this is NOT a banking service, payment service, or financial product of any kind.

29. TIER STATUS & BENEFITS

29.1 Understanding Membership Tiers

Tier status is based on Тotal Qualifying Points earned by Members since registering an active account in the ChargeWise application.

Your specific tier structure, including tier names, point thresholds, and number of tiers, is displayed in the ChargeWise App under "Tiers".

Tier progression is automatic. Once you reach the point threshold for a tier, your status upgrades immediately.

29.1.1. Example Tier Structure

The Operator may implement tier levels such as Bronze, Silver, Gold, Platinum, or use custom naming conventions. Each tier requires a specific point threshold for unlocking, as displayed in the App.

29.2 Tier Benefits

Each tier level may unlock enhanced benefits and privileges. Specific benefits vary by Operator and are displayed in the ChargeWise App under your tier details.

29.2.1. Typical Tier Benefits may include:

  • Enhanced Earning Rates: Higher points multipliers on charging sessions (e.g., 1.5× or 2× standard rates).
  • Exclusive Rewards: Access to premium rewards unavailable to lower tiers.
  • Priority Support: Faster response times and dedicated support channels.
  • Tier Welcome Bonus: One-time bonus points awarded upon tier upgrade.
  • Early Access: Priority access to promotional campaigns and new features.
  • Extended Expiration: Longer point validity periods (where applicable).

Your specific tier benefits are listed in:

  • The Operator's Loyalty program details page in the ChargeWise app.
  • Email/in-app pushnotifications upon Tier upgrade.

Important:Tier benefits are set and may be modified by the Operator at any time with reasonable notice. While tier status is permanent (Section 7.3), the specific benefits associated with each tier may change according to Section 11.1.

29.3 Tier Maintenance & Stability

Once a Member achieves a Tier level, that Tier status is permanent and cannot be downgraded, subject to the following conditions:

29.3.1 Tier Permanence

  • Tier status, once achieved, remains active.
  • Account inactivity does not result in a Tier downgrade.
  • Point balance fluctuations (due to redemptions) do not affect Tier status.

29.3.2 Exceptions to Permanence

Tier status may be revoked only if:

  • The Member's account is suspended or terminated for violations.
  • Fraudulent activity is detected.
  • The Program is permanently discontinued (see Section 11.3).

29.3.3 Tier Benefits May Vary

While Tier status remains permanent, the specific benefits associated with each Tier may be modified by the Operator as described in Section 11.1. Members will be notified of benefit changes in advance where reasonably practicable.

29.4 Forfeiture Upon Suspension

If your account is suspended or terminated, all Tier benefits and Points are forfeited.

29.5 Tier Transparency

Your Tier and Points balance are visible in the ChargeWise App, including:

  • Current tier level and tier name.
  • Total Points earned since account creation.
  • Points remaining until next tier unlock (if applicable).
  • Current tier benefits and privileges.
  • Tier achievement date/milestone history.

Changes to tier status are communicated immediately via:

  • In-App push notifications.
  • In-App message center.
  • Email notifications (if opted in).

Note: Tier calculations are based on lifetime Points earned, not current Points balance. Redeeming Points does not affect your tier status (see Section 7.3.1).

29.6 Multi-Operator Tier Status

If you charge at networks operated by different Charge Point Operators using ChargeWise:

  • Tier status and Points are tracked separately for each Operator's loyalty program.
  • Tier thresholds, names, and benefits are specific to each Operator.
  • Points earned with Operator A do not contribute to tier progression with Operator B.
  • Your tier status with one Operator does not affect your status with another.

Members can view all their active loyalty program memberships and respective tier statuses in the ChargeWise App.

30. REDEMPTION & REWARDS

30.1 Redemption Process

  • Go to the "Redeem" section in the ChargeWise App.
  • Browse available rewards.
  • Select your desired reward and confirm redemption.
  • Points are immediately deducted as confirmation appears on the screen.
  • The associated rewards are shown in the “Rewards” section in the ChargeWise App.
  • Redemption is final and cannot be reversed.

30.2 Rewards Тypes

The Program offers reward categories with different characteristics:

30.2.1 Charge Balance Top-Up
This reward type converts Points into charging service credit (Charge Balance Top-up):

Mechanism:

  • Members redeem Points for a Charge Balance Top-up (e.g., 1,000 Points = $1 balance top-up).
  • Redemption rates are set by the Operator and displayed in the App.
  • Credit is deposited directly into the Member's account in the respective EV Charging service app provided by the Operator.

Critical Limitations:

  • Once deposited, credit is governed by the Operator's charging Terms & Conditions.
  • Credit CANNOT be returned to ChargeWise or reconverted to Points, Cash or any money equivalent whatsoever.
  • Credit may be used for any charging services (EV Charging) provided by the operator.
  • ChargeWise has NO responsibility for how deposited credit is used.
  • Credit usage, refunds, disputes, and policies are solely the Operator's domain.
  • This creates a one-way, irreversible transfer from the loyalty system to the charging system.

Display in App: May be labeled "Charge Balance", “Charge Credit”, “Charge Balance Top-up” or similar.

30.2.2 Third-Party Merchant Gift Cards & Rewards
Members may redeem Points for gift cards and products from external merchants:

Characteristics:

  • Gift cards are provided by independent third-party merchants (e.g., Apple, Amazon, retail brands).
  • Each gift card has restrictions set by the issuing merchant.
  • Gift cards are closed-loop within each merchant's ecosystem.
  • A gift card can only be used for issuing merchant products/services.
  • Gift cards cannot be exchanged for cash (subject to merchant and local law).
  • Gift cards cannot be transferred between different merchant systems.
  • Value cannot exceed the face value of the card.

Note: Gift card terms, restrictions, expiration, and usage policies are determined entirely by the issuing merchant, not by ChargeWise or the Operator.

ChageWise retains the right to introduce new Reward Types with a necessary prior notice.

30.3 Reward Availability & Sourcing

30.3.1 No Supply Relationship

  • Neither the Operator nor ChargeWise supplies, manufactures, or provides Rewards.
  • All Rewards are sourced from independent third-party merchants and vendors.
  • ChargeWise facilitates the connection between Members and merchants.

30.3.2 Availability Not Guaranteed

  • Rewards may be temporarily or permanently unavailable.
  • Reward catalogs may change without notice.
  • Specific gift card denominations may have stock limitations.
  • The Operator and ChargeWise make no guarantee regarding reward availability.

30.3.3 Redemption Finality
All redemptions are final. Once Points are deducted:

  • The transaction cannot be reversed.
  • Points cannot be re-credited to your account.
  • ChargeWise and the Operator cannot cancel completed redemptions.

Exception: Technical errors confirmed by ChargeWise may be reviewed on a case-by-case basis.

30.4 Third-Party Merchant Liability Disclaimer

For Third-Party Merchant Rewards (Section 8.2.2). Neither the Operator nor ChargeWise is responsible for:

  • Quality, authenticity, or condition of rewards.
  • Merchant performance, delays, or delivery failures.
  • Warranty coverage, returns, exchanges, or refunds.
  • Customer service provided by merchants.
  • Accuracy of merchant product descriptions or images.
  • Merchant business closures or bankruptcy.
  • Gift card activation, technical issues, or fraud (beyond ChargeWise's control).

All disputes regarding reward quality, delivery, or performance must be resolved directly with the issuing merchant according to their terms.

30.5 Merchant-Specific Terms Apply

By redeeming any third-party reward, you agree to:

  • The merchant's terms and conditions.
  • The merchant's shipping and delivery policies.
  • The merchant's return, exchange, and refund policies.
  • The merchant's warranty terms (if applicable).
  • Applicable taxes, duties, and fees imposed by the merchant.
  • Gift card expiration dates and usage restrictions (if any).

ChargeWise and the Operator are not parties to these merchant terms.

30.6 Fraudulent or Improper Redemptions

The Operator, ChargeWise, and merchants reserve the right to:

  • Investigate suspected fraudulent redemptions.
  • Reverse redemptions obtained through fraud or exploitation.
  • Deduct Points wrongly awarded or improperly obtained.
  • Suspend or terminate accounts engaged in fraudulent activity.
  • Report illegal activity to law enforcement authorities.
  • Pursue legal remedies for losses incurred.

Members are responsible for ensuring redemptions comply with all applicable laws and these Terms.

31. EXPIRATION & FORFEITURE

31.1 Point Expiration Policy

As of the Effective Date of these Terms, Points do not have an automatic expiration period based solely on time.

However, Points will be forfeited if:

  • Your account remains inactive (no Qualifying Charging Sessions or Redemptions) for 12 consecutive months, AND
  • The Operator implements an expiration policy with advance notice.

If the Operator decides to implement time-based expiration in the future:

  • Members will receive at least 30 days' advance notice.
  • The notice will specify the new expiration timeframe.
  • Existing Points at the time of policy change will be subject to a reasonable transition period.

Current Status: Points remain valid indefinitely for Active Accounts, subject to the forfeiture conditions in Sections 9.3 and 9.4.

31.2 No Recovery of Expired Points

Expired Points cannot be restored. Requests for restoration will be declined.

31.3 Forfeiture on Account Termination or Deletion

31.3.1 Account Deactivation (Temporary):
If you temporarily deactivate (stop using the ChargeWise app for less than 12 months) your account:

  • Points and Tier status are preserved.
  • Upon reactivation, all Points and benefits are restored.
  • Deactivation period counts toward inactivity (see Section 9.1).

31.3.2 Account Deletion (Permanent):
If you permanently delete your account:

  • You will receive a warning that all Points and Tier status will be permanently forfeited.
  • You will have an opportunity to redeem Points before confirming deletion.
  • Once deletion is confirmed, all Points are immediately and irreversibly forfeited.
  • Points cannot be recovered after account deletion under any circumstances.
  • Tier status is permanently lost.

31.3.3 Involuntary Termination or Suspension:
If the Operator or ChargeWise suspends or terminates your account for:

  • Terms violations.
  • Fraudulent activity.
  • Abuse or misuse of the Program.
  • Other reasons specified in these Terms.

Then all Points and Tier benefits are immediately forfeited without opportunity for redemption, except where prohibited by law.

31.4 Bankruptcy & Legal Proceedings

Points are non-estate and cannot be claimed by creditors, trustees, or other parties in insolvency or bankruptcy proceedings.

32. LIMITATION OF LIABILITY

32.1 No Liability for System Errors

To the fullest extent permitted by law, the Operator, ChargeWise, and their respective technology providers are not liable for:

Technical Issues Outside ChargeWise Control:

  • CPMS data transmission errors, delays, or inaccuracies.
  • Third-party network connectivity failures.
  • Rewards Marketplace merchant system outages.
  • Payment processor failures.

ChargeWise System Responsibility:

  • ChargeWise IS responsible for maintaining reasonable access to the ChargeWise application.
  • Temporary outages for maintenance, updates, or unforeseen technical issues may occur.
  • Extended outages will be communicated to Members when reasonably practicable.

Point Calculation Disputes:

  • Minor calculation discrepancies due to rounding or data latency.
  • Delays in Point crediting (up to 48 hours is considered normal).
  • Retroactive Point adjustments due to corrected CPMS data.

Members acknowledge that complex technical systems may experience occasional errors, and ChargeWise will make reasonable efforts to resolve confirmed issues on a case-by-case basis.

32.2 "AS-IS" Provision

The Program is provided "AS IS" without any express or implied warranties, including:

  • Merchantability.
  • Fitness for a particular purpose.
  • Non-infringement.
  • Uninterrupted or error-free operation.

32.3 Remedies and Compensation Limitations

32.3.1 No Cash Refunds or Monetary Compensation:

Given that Points have no cash value and the Program is promotional:

  • ChargeWise and the Operator do not provide cash refunds for Point-related issues.
  • Monetary compensation is not available for Point calculation errors, system downtime, or reward unavailability.
  • This limitation applies regardless of the number of Points affected.

32.3.2 Available Remedies:

In the event of confirmed errors or system failures, ChargeWise may, at its sole discretion:

  • Manually credit missing or incorrectly calculated Points.
  • Extend redemption deadlines affected by system outages.
  • Provide bonus Points as goodwill gestures.
  • Work with Members to resolve specific issues on a case-by-case basis.

32.3.3 Case-by-Case Review:

All claims for Point adjustments or error corrections will be:

  • Reviewed individually based on available data and evidence.
  • Resolved at ChargeWise's reasonable discretion.
  • Subject to verification through CPMS records and system logs.

32.3.4 Maximum Liability:

To the extent any monetary liability is determined to exist under applicable law, the total aggregate liability of ChargeWise and the Operator shall not exceed the lesser of:

  • The value of Points in dispute (calculated at the lowest redemption rate available at the time of dispute), OR
  • €100 (one hundred euros).

This cap applies per Member, per incident, and in aggregate.

32.4 No Liability for Third Parties

The Operator and ChargeWise are not liable for the actions or omissions of:

  • CPMS providers.
  • Third-party merchants.
  • Payment processors.
  • Telecommunication and network providers.

32.5 Waiver of Class Action

You agree that all claims related to the Program must be brought individually. You waive any right to participate in class actions, class arbitrations, or representative proceedings.

33. PROGRAM MODIFICATIONS & TERMINATION

33.1 Modifications

The Operator may modify these Terms, including:

  • Earning rates.
  • Tier thresholds.
  • Expiration rules.
  • User Group eligibility.

33.2 Notice

Material changes will generally be announced at least 30 days in advance via:

  • In-App notifications.
  • Email.

If you do not agree with the changes, you must opt out of the Program. Continued participation constitutes acceptance of the modified Terms.

33.3 Termination

The Operator may suspend or permanently terminate the Program at any time.

Upon termination:

  • No further Points may be earned.
  • You will have 90 days to redeem existing Points (unless otherwise stated).
  • Unused Points after the redemption period will expire and be deleted.

33.4 Charging Unaffected

Program suspension or termination does not affect your ability to use the Operator's charging services, which are governed by separate Terms & Conditions.

34. PRIVACY & DATA

34.1 Data Collected

To operate the Program, the Operator and ChargeWise may collect:

  • Account details (name, email, phone, etc.).
  • Charging data (location, kWh, time, cost).
  • Device and usage data (IP, app version, login history).
  • Redemption data (what you redeemed and when).

  • ChargeWise Terms & Conditions (T&C).
  • ChargeWise Privacy Policy (PP).
  • ChargeWise PDPA Data Protection Policy.
  • ChargeWise Security Commitment Statement.

34.2 Use of Data

Data is processed to:

  • Calculate and award Points.
  • Manage your User groups, Tiers, and Rewards.
  • Prevent fraud and misuse.
  • Improve services and user experience.
  • Comply with legal obligations.

34.3 Marketing Opt-In

Joining the Program does not automatically subscribe you to marketing. Separate explicit opt-in is required for promotional emails or notifications.

You may withdraw consent at any time using unsubscribe links or account settings.

34.4 Data Sharing

Data may be shared with:

  • Merchants (only what is needed to deliver Rewards).
  • Fraud and security services.
  • Authorities, where required by law.

Important: Data is not sold to third parties for their own marketing.

34.5 Data Retention & Deletion

Data retention will follow:

  • Active accounts: retained while active, plus a limited period afterward.
  • Closed accounts: deleted or anonymized after legal retention requirements are met.
  • Session data: may be retained longer for audit, billing, and compliance.

You may exercise data subject rights by contacting the DPO.

34.6 Security

Appropriate technical and organizational measures are used to protect your data. However, no system is perfectly secure, and residual risk remains.

34.7 Cross-Reference to Privacy Documents

Where inconsistencies exist between this Section and the Privacy Policy, the Privacy Policy prevails for privacy matters.

35. DISPUTE RESOLUTION

35.1 Good Faith Negotiation

If a dispute arises about Points, Tiers, Rewards, or Program operation:

  • Contact support at support@chargewise.globa with all relevant details.
  • Allow a reasonable time (e.g., 5–15 business days) for investigation and response.

35.2 Binding Arbitration

If not resolved via negotiation, you agree to submit disputes to binding arbitration under the rules specified by the Operator (e.g., ICC rules) in the Republic of Bulgaria.

35.3 Small Claims Court Exception

Either party may bring a qualifying claim in small claims court, provided it is brought individually and not as part of a class.

35.4 No Class Actions

You waive any right to bring or participate in class actions, collective claims, or representative proceedings against the Operator or ChargeWise relating to the Program.

36. GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the Republic of Bulgaria, excluding its conflict of law rules.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

37. FINAL PROVISION: ENTIRE AGREEMENT

These Terms, together with the documents listed in Applicable Documents & References, constitute the entire agreement governing your participation in the Loyalty Program and supersede any prior understandings.

If any provision is found invalid or unenforceable, it shall be modified to the minimum extent necessary to be enforceable, and the remainder of the Terms shall remain in full force.

By clicking "I Agree" or by earning your first Point via a Qualifying Charging Session, you confirm that:

  • You have read, understood, and agreed to both PART I (General Terms and Conditions) and PART II (Loyalty Programs Terms & Conditions) of this unified document in its entirety.
  • You are at least 18 years old.
  • You meet all the eligibility requirements set out in this document.
  • You accept all the limitations of liability described herein.
  • You understand that Points are non-cash, non-transferable, and closed-loop promotional units with no monetary value.
  • You give your explicit, informed consent to the collection and processing of your personal data as described in this document and in the ChargeWise Privacy Policy and PDPA Data Protection Policy.
  • You have had the opportunity to review the applicable privacy and security documents referenced herein.
  • You acknowledge that your participation in the loyalty program is entirely voluntary and that you may withdraw at any time without penalty to your continued use of the charging services provided by the Charge Point Operator.

This unified consent satisfies the requirements for express and informed consent under: the Bulgarian Consumer Protection Act (ZZP); the Obligations and Contracts Act (ZZD); GDPR Art. 7; the Bulgarian Electronic Commerce Act (ZET); and applicable eMobility and data protection regulations. A single acceptance event covers all obligations contained in this document.
